Chapter 1 General Provisions
Article 1 (Company name)
The company shall be called Japan Medical System Development Organization, LLC.
Article 2 (Purpose)
The purpose of the company shall be to engage in the following business.
- Planning, development, sale, maintenance and operation of systems, software and applications for medical institutions and healthcare providers
- Support and consulting for digital transformation (DX) in the medical and healthcare sector
- Planning, development and operation of services for the collection, management, analysis and provision of medical, health and long-term care information
- Provision of services for operational efficiency and management support at medical institutions
- Planning, development and operation of systems that support telemedicine and online consultation
- Market research, academic research and data analysis in the medical and healthcare sector, and provision of the results
- Planning, production and support of advertising, public relations, marketing and branding for medical institutions and healthcare providers
- Planning, production and operation of training, seminars, lectures and educational content in the medical, health and long-term care fields
- Planning, production, publishing and sale of books, magazines and digital content on medicine and health
- Undertaking administrative and other work of medical institutions and healthcare providers under contract or as their agent
- Research, development, sale and provision of systems and software that use artificial intelligence and other advanced technologies
- Planning, development and operation of information services for maintaining health and preventing disease
- Planning, sale, import and export of health-related equipment, health-related goods and daily necessities
- Planning, operation and management of events, seminars, exhibitions and conferences
- Any and all business incidental or related to each of the preceding items
Article 3 (Location of the head office)
The company shall have its head office in Chiyoda-ku, Tokyo.
Article 4 (Method of public notice)
Public notices of the company shall be given by publication in the Official Gazette (Kanpo).
Chapter 2 Members and Contributions
Article 6 (Admission)
The admission of a new member shall require the consent of all members.
Chapter 3 Execution of Business and Representation of the Company
Article 8 (Executive members)
All members of the company shall be executive members and shall execute the business of the company.
Article 9 (Representatives)
Each executive member of the company shall represent the company.
Chapter 4 Accounts
Article 10 (Fiscal year)
The fiscal year of the company shall be one period per year, from August 1 to July 31 of the following year.
Article 11 (Preparation of financial statements)
At the end of each fiscal year, the executive members shall prepare the financial statements for that fiscal year: the balance sheet, the profit and loss statement, the statement of changes in members’ equity, and the notes to the financial statements.
The first fiscal year of the company runs from the date of incorporation to July 31, 2027. Article numbers follow the Japanese original.
