Organized as a godo kaisha
Japan Medical System Development Organization, LLC is a godo kaisha, the limited liability company defined by the Japanese Companies Act. In a godo kaisha, the members who put up the capital run the business themselves: there is no split between a board of directors and a general meeting of shareholders, as there is in a kabushiki kaisha. Our articles of incorporation provide that all members are executive members (Article 8) and that each executive member represents the company (Article 9).
Authority to represent the company is therefore not concentrated in one person: each of the four members represents it in the work they do. Decisions are made by agreement among the members, and admitting a new member requires the consent of all of them (Article 6). Being a small team means there is no distance between deciding and acting, so we can move as quickly as the work requires.
